AugSite Terms of Service

1. Agreement to Terms

By purchasing an AugSite subscription through our Stripe Payment Link or by using the AugSite service, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you or your organization ("Customer," "you," or "your") and PineWoodsAI LLC ("PineWoodsAI," "we," "us," or "our").

If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

AugSite is a hosted website package service that provides:

  • A hosted public website on AWS Amplify infrastructure
  • Content management and routine updates
  • Optional Site Bot (AI-powered conversational assistant)
  • Optional Augmented Experience Optimization (AEO)
  • Optional lead capture and custom integrations
  • Support through Linear project management system

AugSite is offered in multiple subscription tiers as described in Section 3 below.

Important Exclusions: AugSite does NOT include RIF, Athena Prime, Hive, source code handoff, or customer-owned AWS deployments. Those services are provided under separate agreements.

3. Subscription Tiers and Pricing

AugSite is available in the following subscription tiers:

3.1 Starter Tier

Pricing:

  • Monthly: $50/month
  • Annual: $600/year (12 months; no annual discount)

Features:

  • Hosted public website
  • Limited ticket entry for content requests
  • Limited customizations
  • 1 named Linear user
  • Does NOT include: Site Bot, AEO, or SEO services

3.2 Core Tier

Pricing:

  • Monthly: $250/month
  • Annual: $2,500/year (approximately 17% annual discount)

Features:

  • Hosted public website
  • Site Bot functionality on on-site/website content only
  • AEO (Augmented Experience Optimization)
  • Routine included changes
  • 1 named Linear user

3.3 Plus Tier

Pricing:

  • Monthly: $500/month
  • Annual: $5,000/year (approximately 17% annual discount)

Features:

  • Hosted public website on AWS Amplify
  • Site Bot including external content via Amazon S3 or database
  • Higher included-change budget compared to Core
  • Enhanced AEO capabilities
  • Custom domain support
  • Lead capture functionality
  • Custom API integration options
  • Basic AWS RDS database
  • Basic container runtime for API support
  • 2 named Linear users

3.4 Custom Tier

Pricing: Negotiated pricing and payment terms

Features:

  • Highest level of customization
  • Negotiated service scope
  • Additional named Linear users
  • Enterprise-level support

Note: Custom tier is not available through self-serve Stripe Payment Link. Contact us at arch@pinewoodsai.com to discuss Custom tier options.

4. Ordering and Onboarding

4.1 Self-Serve Tiers (Starter, Core, Plus)

Self-serve subscriptions are initiated through our Stripe Payment Link, which serves as the clickwrap order form. By completing payment through the Stripe Payment Link, you accept these Terms.

4.2 Finish-Setup Form

After completing payment, you must submit a finish-setup form providing:

  • Business name
  • Site name and preferred slug
  • Technical contact name and email address
  • Existing site URL(s) to ingest (if applicable)

Your AugSite service will be provisioned and your Linear team will be created after we receive your completed finish-setup form.

4.3 Custom Tier

Custom tier subscriptions require direct conversation with PineWoodsAI and execution of a negotiated agreement.

5. Payment Terms

5.1 Stripe Payment Processing

All self-serve tier payments are processed through Stripe. You authorize PineWoodsAI and Stripe to charge your designated payment method for all subscription fees.

5.2 Recurring Billing

Subscriptions automatically renew at the end of each billing period (monthly or annual) unless canceled in accordance with Section 9. You will be charged the then-current rate for your subscription tier.

5.3 Payment Failure

If a payment fails, we may suspend your service until payment is received. Continued payment failure may result in termination of your subscription.

5.4 No Refunds

All subscription fees are non-refundable except as required by applicable law or as expressly stated in these Terms.

6. Site Bot and AI Services

6.1 Availability

Site Bot is available only on Core, Plus, and Custom tiers. Site Bot is NOT available on Starter tier.

6.2 Content Scope

  • Core tier: Site Bot operates on on-site/website content only
  • Plus tier: Site Bot includes external content via Amazon S3 or database
  • Custom tier: Site Bot scope is negotiated

6.3 AI Limitations

Site Bot is powered by artificial intelligence and may occasionally provide inaccurate, incomplete, or unexpected responses. You are responsible for reviewing and validating any information provided by Site Bot before relying on it.

7. Service Modifications and Included Changes

7.1 Routine Changes

Core, Plus, and Custom tiers include routine content and configuration changes within the service scope of your tier. The volume and complexity of included changes varies by tier:

  • Starter: Limited ticket entry for minor content updates
  • Core: Routine included changes
  • Plus: Higher included-change budget than Core
  • Custom: Negotiated change budget

7.2 Out-of-Scope Changes

Changes that exceed your tier's included budget or fall outside your tier's service scope may incur additional fees. We will notify you before performing any work that would incur additional charges.

8. Linear Project Management

8.1 Named Users

Each tier includes a specified number of named Linear users who can submit tickets and track work:

  • Starter & Core: 1 named Linear user
  • Plus: 2 named Linear users
  • Custom: Negotiated number of named Linear users

8.2 Additional Users

Additional named Linear users may be added for an additional fee. Contact us to discuss adding users to your subscription.

9. Term and Termination

9.1 Subscription Term

Your subscription continues until canceled by you or terminated by PineWoodsAI in accordance with these Terms.

9.2 Cancellation by Customer

You may cancel your subscription at any time. Cancellation will be effective at the end of your current billing period. No refunds will be provided for partial billing periods.

9.3 Termination by PineWoodsAI

We may terminate your subscription immediately if:

  • You breach these Terms or our Acceptable Use Policy
  • Your account has been suspended for non-payment for more than 30 days
  • We discontinue the AugSite service (with 60 days' prior notice)

9.4 Effect of Termination

Upon termination:

  • Your access to AugSite services will cease
  • Your hosted website will be taken offline
  • Your Linear team access will be revoked
  • You remain responsible for all fees incurred prior to termination

10. Data and Privacy

Your use of AugSite is subject to our Privacy Policy. We handle your data in accordance with applicable data protection laws.

PineWoodsAI retains the right to use anonymized, aggregated data for service improvement and analytics.

11. Intellectual Property

11.1 Customer Content

You retain all intellectual property rights in the content you provide to us ("Customer Content"). You grant PineWoodsAI a limited license to use, host, and display Customer Content solely to provide AugSite services to you.

11.2 PineWoodsAI IP

PineWoodsAI retains all intellectual property rights in the AugSite platform, Site Bot, AEO technology, and all other technology, software, and materials provided as part of the service.

11.3 No Source Code Transfer

AugSite subscriptions do not include transfer or licensing of source code. Your subscription provides access to hosted services only.

12. Warranties and Disclaimers

12.1 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. AugSite is provided "AS IS" and "AS AVAILABLE."

12.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINEWOODSAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINEWOODSAI'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO AUGSITE SHALL NOT EXCEED THE AMOUNT YOU PAID TO PINEWOODSAI IN THE 12 MONTHS PRECEDING THE CLAIM.

PINEWOODSAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY.

14. Acceptable Use

You agree to comply with our Acceptable Use Policy and all applicable laws and regulations when using AugSite.

You may not use AugSite to:

  • Violate any applicable law or regulation
  • Infringe the intellectual property rights of others
  • Distribute malware, spam, or malicious content
  • Attempt to gain unauthorized access to our systems
  • Engage in any activity that disrupts or interferes with AugSite services

15. Modifications to Terms

We may modify these Terms from time to time. We will notify you of material changes by email to your technical contact or through your Linear team. Your continued use of AugSite after the effective date of modified Terms constitutes your acceptance of the changes.

16. General Provisions

16.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

16.2 Entire Agreement

These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and PineWoodsAI regarding AugSite.

16.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.4 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

16.5 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

Version 1.4 introduces the following significant changes:

  • Multi-tier pricing structure: Added Starter ($50/mo), Core ($250/mo), Plus ($500/mo), and Custom tiers (previously single $250/mo package)
  • Site Bot branding: Changed terminology from "Site Assistant" to "Site Bot"
  • Tiered features: Clarified which features are available in each tier, including Site Bot availability (not available in Starter)
  • Self-serve onboarding: Detailed Stripe Payment Link as order form and finish-setup form process
  • Linear user limits: Specified named Linear user allocations per tier
